Rastislav is an associate focusing primarily on M&A, corporate and energy regulatory matters. He has been involved in numerous projects, particularly in the energy sector.
Selected Experience
- acting as Lead International Counsel and co-advising with Lazard on a sale of a Slovak manufacturing group operating in the field of production of high-precision gears used in robotics and automation (world’s top 3 in its sector) to a US-listed conglomerate with a project value of EUR 150 million
- advising on matters of Slovak law in relation to the acquisition of shares in a German high-barrier packaging solutions company with a project value of EUR 900 million
- advising on matters of Slovak law in relation to a contemplated acquisition of a leading integrated steel producer in Central Europe, with a project value exceeding EUR 1 billion
- advising Slovakia’s largest energy producer on EUR 1.8 billion contract related to the decision of the Ministry of Economy of the Slovak Republic to impose obligations in the general economic interest due to securing the price of electricity supplies, as well as related preparation for pre-notification consultations with the European Commission regarding state aid issues and advising on a related dispute with the Ministry of Economy regarding the imposition of the public service obligation
- advising Slovakia’s largest energy producer on strategic negotiations of nuclear fuel supply contracts
- advising on a wide range of corporate, regulatory and contractual matters for a Slovak energy company operating in the field of transport of crude oil and its storage (including advice on sanctions regulations)
- advising the Slovak gas transmission system operator in connection with various commercial and regulatory matters
- advising a Slovak manufacturing group (world’s top 3 in its sector) on several merger projects including preparation and execution of complete legal documentation and cooperation with other involved companies and tax advisors and also on a number of issues related to state aid
- advising on setting up a holding company in Slovakia and subsequent acquisition of a company in Ukraine that develops several brownfield real estate projects in the Kyiv area in a value of EUR 100 million
- advising a global industrial leader in engineered bearings and power transmission products on Slovak law issues related to acquisition of an industry leader in tribological bearings, coatings and assemblies including its subsidiary in Slovakia
- advising on the acquisition of 100 % of the shares in a company which owns a 50,000 m2 brownfield site as well as on the subsequent merger of the companies involved
- advising lenders on Slovak law issues related to a refinancing of a Polish retail footwear company with subsidiaries in a number of CEE jurisdictions, including Slovakia
