Miroslav’s diverse practice includes domestic and international mergers and acquisitions, disposals, projects and other corporate and commercial transactions, real estate and variety of recent privatisation and post-privatisation matters in the Central, Eastern and Southern Europe, with a particular focus on private equity. He has considerable experience in investment structuring both from a legal and tax perspective.

Selected Experience

  • advising on acquisitions and disposals of shares and property in Central and South Eastern Europe, and the UK in a variety of sectors including real estate, energy and utilities, insurance, pharmaceuticals, telecommunications, automotive, and food sectors
  • advising private equity houses on downstream private equity investments, in particular advising on private equity backed M&A deals, management buy-outs and leveraged buy-outs in pharmaceutical, telecom, food, construction and infrastructure sectors
  • structuring, leading, managing and supervising significant large-scale transactions throughout the region, including in Austria, Bulgaria, Cyprus, Czech Republic, Moldova, Russia, Serbia, Slovenia, Turkey and Ukraine
  • advising on the privatisation of leading Slovak energy companies, including an electricity distribution company, a company carrying on business in the field of transit and inland oil transportation and storage and a company carrying out business in the field of transit and inland gas transportation
  • advising bidders in connection with a tender for the construction, operation and maintenance of one of the pilot PPP projects in Slovakia
  • advising on an acquisition by an international private equity group of a portfolio of luxury residential and tourist real estate assets in North Africa through a Luxembourg based investment fund
  • advising a London-based private equity firm on a cross-border equity/mezzanine investment into one of the most sophisticated multi-purpose developments in the CEE
  • advising a group of private equity investors on a disposal of a heat producing plant and pipeline
  • advising on the establishment of the new emergency oil stocks management structure in the Slovak Republic, including on drafting of the new legislation to enable the implementation of the new structure, and on the international syndicate financing of €520 million required in connection with the take-over of the emergency stocks from the Slovak Republic
